By accessing or using the services of Vertex Consultation Group LLC, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms in full.

These Terms apply to all visitors, clients, and users of our website and services, including but not limited to individuals who book consultations, subscribe to wellness coaching programs, or communicate with us via any channel including email, phone, or SMS.

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of our services following any modifications constitutes your acceptance of the revised Terms. The date of the most recent revision is indicated at the top of this page.

Vertex Consultation Group LLC provides evidence-based health coaching, personalized nutrition planning, weight management counseling, and holistic wellness services delivered by board-certified specialists. Our services include:

• Personalized Nutrition Plans — Custom macro and micronutrient frameworks tailored to your metabolic profile, health objectives, and dietary preferences.
• Weight Management Counseling — Behavioral and nutritional coaching targeting the root causes of weight challenges, including emotional eating and metabolic factors.
• Health & Wellness Coaching — One-on-one holistic coaching addressing nutrition, lifestyle, stress, sleep, and chronic health condition management.
• Free Discovery Consultation — A complimentary 15-minute introductory call to assess fit and discuss your health goals at no obligation.

Service Delivery

Consultations and coaching sessions are available both in-person at our Denver, Colorado office and remotely via video call or telephone. Sessions are available Monday through Friday, 10:00 AM to 7:00 PM. We reserve the right to modify service offerings, session formats, or scheduling availability at any time with reasonable notice to existing clients.

Our licensed medical doctors and board-certified specialists provide evidence-based medical advice, diagnosis guidance, and treatment recommendations. Prescriptions and clinical guidance are issued directly by our licensed physicians in accordance with applicable law.

You acknowledge and agree that:

• You will consult with your primary care physician or a licensed medical professional before beginning any new nutrition, diet, or wellness program, particularly if you have a pre-existing medical condition.
• Results from our programs vary by individual and are not guaranteed. Factors including genetics, health history, adherence, and lifestyle significantly influence outcomes.
• You are solely responsible for any decisions you make regarding your health based on information or guidance provided by our specialists.
• Our services are not a substitute for emergency medical care. If you are experiencing a medical emergency, contact 911 or your local emergency services immediately.

Consultation Fee

A one-time consultation fee of $45 USD is required to book an initial paid consultation. This fee is non-refundable once the session has been conducted. The complimentary 15-minute discovery call is provided at no charge.

Program Fees

Fees for ongoing coaching programs, personalized nutrition plans, and weight management counseling will be communicated clearly prior to enrollment. All fees are quoted in US Dollars (USD) and are subject to change with reasonable advance notice.

Payment Methods

We accept all major credit and debit cards. Payment is due at the time of booking unless otherwise agreed upon in writing. By providing payment information, you represent that you are authorized to use the payment method provided.

We understand that schedules change. To respect the time of our specialists and other clients, we ask that you observe the following policy:

• 24-hour notice: Cancellations or reschedule requests made at least 24 hours before a scheduled session will be accommodated without penalty.
• Late cancellations: Cancellations made within 24 hours of a scheduled session may be subject to a cancellation fee or forfeiture of a prepaid session.
• No-shows: Failure to attend a scheduled session without notice will be treated as a completed session for billing purposes.
• Emergency exceptions: Documented emergencies will be considered on a case-by-case basis at the discretion of Vertex Consultation Group LLC.

• You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content without our express written permission.
• Personalized nutrition plans and coaching materials created for you are for your personal use only and may not be shared, resold, or distributed.
• You may share links to our public website pages for non-commercial purposes.

Any unauthorized use of our intellectual property may result in legal action.

Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis. Vertex Consultation Group LLC makes no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of our services or the information provided.

Limitation of Liability

To the fullest extent permitted by applicable law, Vertex Consultation Group LLC, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:

• Loss of results, income, or business opportunities
• Any health outcomes or adverse effects resulting from following coaching recommendations
• Unauthorized access to or use of our servers or personal information stored therein
• Interruption or cessation of transmission to or from our website

In no event shall our total liability to you exceed the amount paid by you to Vertex Consultation Group LLC in the three (3) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Vertex Consultation Group LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Denver, Colorado.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules, with proceedings conducted in Denver, Colorado.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vertex Consultation Group LLC with respect to your use of our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Assignment

Force Majeure

Vertex Consultation Group LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, or telecommunications failures.
